- “Plans” include Academic (Monthly, Yearly, Premium), Industry (Business, Enterprise), and Foundation (Basic, Pro).
- “Services” include products, data access, support, platforms, and any benefits associated with the subscription.
2. Eligibility & Use
- Academic plans are intended for educational and non-commercial research use only.
- Industry plans are designed for commercial research and development.
- Foundation plans are intended for registered nonprofit and charitable organisations.
- Subscribers must ensure that their selected plan aligns with their intended use.
- Misuse of plans (e.g., commercial use under an Academic plan) may result in suspension or termination.
3. Subscription Term & Renewal
- Monthly plans renew automatically every month unless cancelled.
- Yearly plans renew annually unless cancelled prior to the renewal date.
- Business, Enterprise, and Foundation plans may operate under custom agreements.
- Renewal fees are charged automatically unless written cancellation is received before the renewal date.
4. Pricing & Payments
- Subscription pricing is based on the selected plan tier.
- Prices are subject to change with reasonable notice.
- Flexible payment options may be available for eligible plans and order values.
- Late or failed payments may result in temporary suspension of services.
5. Benefits & Plan Features
- Benefits vary by plan tier and are outlined on the official Stemnovate website or proposal documentation.
- Stemnovate reserves the right to update features, benefits, or offerings to improve services.
- Loyalty rewards, discounts, and offers are non-transferable and hold no cash value.
6. Shipping & Delivery
- Delivery timelines for products, services and data packages under subscription plan (e.g., 2–5 days) are estimates and may vary by region.
- Stemnovate is not liable for delays caused by compliance, customs, courier services, or external factors.
- Proper storage and handling of products upon delivery are the responsibility of the Subscriber.
7. Research Assurance & Replacement
- Certain plans include accidental cell coverage (e.g., contamination, freezer failure, transit issues).
- Replacement eligibility is assessed on a case-by-case basis and may require documentation.
- Coverage applies only under appropriate handling and use conditions.
8. Data Access & Usage
- Access to datasets (authentication reports, Karyometrix™, data gene, protein, assays, bioinformatics etc.) depends on plan tier.
- All data provided remains the intellectual property of Stemnovate unless otherwise agreed.
- Data may be used by the Subscriber for internal research purposes only unless explicitly licensed.
9. Intellectual Property
- All content, platforms, datasets, technologies, trademarks, and materials remain the property of Stemnovate.
- Subscription does not grant ownership of any intellectual property unless explicitly stated in a written agreement.
10. Compliance & Ethical Use
- Subscribers agree to use all products and services ethically and in compliance with applicable laws and regulations.
- Misuse of biological materials, data, or services may result in immediate termination.
11. Cancellation & Termination
- Subscriptions may be cancelled according to the cancellation policy stated on the website or agreement.
- No refunds are guaranteed unless specified under a written agreement.
- Stemnovate reserves the right to suspend or terminate access for violation of these Terms.
12. Limitation of Liability
- Stemnovate provides services for research use and does not guarantee specific experimental outcomes.
- To the fullest extent permitted by law, Stemnovate shall not be liable for indirect, incidental, or consequential damages arising from use of the services.
13. Amendments
- Stemnovate reserves the right to update these Terms at any time.
- Continued use of the subscription after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United Kingdom, unless otherwise specified in a separate agreement.
